1- BASIC INITIAL GUIDELINES ON ORDERS OR BUSINESS

2- To place Purchase, Sale, Export or Import orders, the company or client must first send an official letter of intent to be enabled on our commercial platform. This allows us and is necessary to identify our suitable suppliers and the product or team in the global market, analyze competition, define prices, logistics, security, etc. The return process involves issuing a Soft Corporate Offer (SCO), which is a non-binding offer for international trade and commodities, or a Full Corporate Offer (FCO), a detailed and legally binding document from a seller describing the terms and conditions of a proposed sale.
3- Clients and end users must issue a Letter of Intent to Purchase or Purchase Order or Service Order. The LOI (Letter of Intent) documents must be filled out with banking details, as well as the ICPO (Irrevocable Corporate Purchase Order), which must detail the main points of the future transaction, with contractual details and closing. 8- Letter with Identification: Information on company letterhead or interested client, in electronic format, with appropriate official letterhead, by the final buyer or their legal representative attorney.
9- Power of Attorney of legal representative: Copy (PDF) of the official agent or attorney.
10- Business Description: Letter with details of what you wish to buy, sell or negotiate.
11- Price and payment terms: Agreed amount, product target price, payment method, guarantor bank and financial instrument, etc.
12- Final Destination: Description of the delivery location of the product, service or research.
13- Inform Incoterms (International Commercial Terms): International Commercial Terms that define the framework of a purchase and sale contract or other.
14- Types of Service Consulting and Technological Research: Describe details of consulting or service, Basic or Pure Research, Applied Research and, regarding Objectives: Services or Exploratory Research, descriptive or explanatory.
15- Quantity and specification: Quantity of products, technical report or consulting.
16- Packaging Standard: Specify the required standards regarding the type and delivery of packaging, characteristics, customization, product or service reference.
17- Deadlines and Schedule: Important dates, desired shipping period, validity of LOI or ICPO for Due Diligence, transaction closing, schedule and transaction activity.
18- Quality Documentation and Certification: Required quality reports and certificates and cited test standards or references.
19- Secrecy and confidentiality clauses: Provide the terms of expression and data to protect sensitive information during activities and negotiations.
20- Nominal or Exclusive Legal Representative: If applicable, define a period during which the legal representative is responsible and will not negotiate with third parties.
21- Conditions for closing: Provide details on the necessary conditions for completion and delivery of the transaction, such as transportation, logistics, security, etc.
22- Dispute Resolution: Provide a citation of possible discrepancies, how they will be handled or the absence of information according to international trade guidelines.
23- Signature and additional documents: Date and electronic signature or identical to the initials of the identity document or with public faith recognition, attaching the following documents: copy of passport or identity document of the buyer or their authorized representative in PDF format and attach the CIS – Customer Information Summary – fundamental document for monitoring and starting any negotiation, legal requirement for approval of the negotiation;
24- copy of BCL (Bank Comfort Letter), document issued by a guarantor bank (top 100) that confirms that its client has sufficient funds for a specific transaction with a minimum amount equivalent to the operation or remittance;
25- or Risk Weighted Assets (RWA) notice document, financial term that quantifies the capital that banks need to have in relation to the risk of their lending activities to the buyer;
26- PDF copy of the buyer company’s certificate of incorporation (KYC).
27- Technical specification report or reference: attach the document or report that describes in detail the required product, descriptive about services or conducting business consultation, research and desired experiment, including the materials used, profile of the technical team, packaging, security, procedures to follow with the results obtained and conclusions.
28- All documents sent for purchase, sale and business are starting points for activities and mandatory approval from the Audit and Due Diligence area.
